Terms of Service

These Terms of Service ("Terms") govern your use of Scalix Cloud and related services operated by Scalix World Pvt Ltd (India) and Energy FW Ltd (UK) (together "Scalix", "we", "us"). Your contracting entity depends on your region, as set out in Section 11.
1. Services
Scalix Cloud provides managed cloud infrastructure including database (ScalixNova), AI inference, serverless functions, object storage, authentication, and related developer tools. Scalix Cloud is currently in public beta; features may change as the platform matures.
Scalix AI (inference) may produce inaccurate or incomplete output; it is provided as a tool for your use and is not professional advice. You are responsible for reviewing any output and for how you use it, and for ensuring your inputs and use comply with applicable law and with any third-party model terms that apply to a model you select. As between you and Scalix, you keep your rights in the inputs you submit and in the outputs generated for you. Scalix AI is served by Scalix-operated infrastructure. If you supply your own provider key (BYOK), your inputs are sent to that provider, under your own terms with it, to generate your output. Scalix does not use your inputs or outputs to train models.
2. Accounts & Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter a binding contract. You must provide accurate information when creating an account and are responsible for maintaining the security of your API keys and credentials.
3. Acceptable Use
You agree not to use the services to: (a) break the law or infringe others' rights, including intellectual-property, privacy, or publicity rights; (b) store or transmit malware, or carry out attacks, intrusions, scanning, or denial-of-service against any system; (c) send spam or unsolicited bulk messages, or breach anti-spam laws; (d) mine cryptocurrency or run comparable resource-abuse workloads except under a plan that expressly permits it; (e) host, distribute, or generate unlawful, harmful, or abusive content, including child sexual abuse material; (f) attempt to gain unauthorised access to, disrupt, or circumvent the limits or security of the services or other tenants; or (g) use the services, including Scalix AI, in life-critical, safety-critical, or other high-risk settings where a failure could lead to death, personal injury, or significant property or environmental harm. We may investigate suspected violations and suspend or remove offending content or workloads.
4. Billing & Refunds
Paid plans are billed monthly. Your plan price becomes your credit pool. Overage billing is optional and disabled by default: if you enable it, usage beyond your credit pool is charged at the same per-unit rates up to a monthly spending cap that you set; if disabled, service pauses when your credit pool is exhausted and no additional charges accrue. The free tier includes a one-time $1 trial credit. Fees are non-refundable except where required by applicable law; if you believe you were charged in error, contact billing@scalix.world within 30 days of the charge. 5. Data
You retain ownership of your data. We process data as described in our Privacy Policy. You may export or delete your data at any time. Business customers act as data controllers; our processing of personal data on your behalf is governed by our Data Processing Agreement (DPA), which forms part of these Terms.
6. Service Availability & Warranties
We do not currently offer contractual uptime guarantees. Availability commitments for Enterprise agreements are available on request. Except as expressly stated in these Terms and to the fullest extent permitted by law, the services are provided "as is" and "as available", and Scalix disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Scalix Cloud is in public beta and may contain errors or change. This Section does not exclude or limit any warranty or right that cannot be excluded or limited under the law that applies to you, including the statutory rights of consumers.
7. Suspension & Termination
Either party may terminate at any time. We may suspend or restrict access for non-payment (after notice and a grace period), or immediately for material breach, illegal use, or security risk. On termination you may export your data within 30 days, after which it may be deleted. See our Refund & Cancellation Policy for cancellation and refund terms.
8. Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited (including non-waivable consumer rights). Subject to that, our total liability arising out of or relating to the services is limited to the amount you paid us in the 12 months preceding the claim, and we are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, data, or goodwill, to the fullest extent permitted by law.
9. Indemnification
You agree to indemnify Scalix against claims arising from your content, your use of the services in violation of these Terms, or your violation of applicable law or third-party rights.
10. Changes to These Terms
We may update these Terms from time to time. For material changes, we will give at least 14 days' notice via email or the console before the changes take effect. Continued use after the effective date constitutes acceptance.
11. Governing Law
These Terms are governed by the laws of India for Scalix World Pvt Ltd customers and the laws of England and Wales for Energy FW Ltd customers. Disputes are subject to the courts of the respective jurisdiction. Nothing in these Terms removes any non-waivable consumer rights you have under your local law.
12. General
If any provision is held unenforceable, the rest remains in effect (severability). Neither party is liable for delay or failure caused by events beyond its reasonable control (force majeure). You may not assign these Terms without our consent; we may assign them to a successor or the other Scalix contracting entity (see Section 13). These Terms, with the Privacy Policy and Refund & Cancellation Policy, are the entire agreement between you and Scalix. Our failure to enforce a provision is not a waiver.
